Liability Release for Use of CAD Drawings

Terms of Release

Associated Design & Engineering Services LLC (ADES) has provided the Recipient named above with the Computer Aided Drafting (CAD) files to use exclusively to estimate job costs for the Project. Execution of this Release of Liability is required for permission to use the CAD Files.

1. ADES makes no warranty of any kind, express or implied, with respect to the CAD file(s).
2. ADES makes no warranty as to the compatibility of the CAD Files with any hardware or software, or from the modification or conversion of the CAD Files into another format.
3. Recipient agrees to indemnify, defend and hold harmless ADES, its officers, and employees from and against all claims, suits, losses, damages or costs incurred from using the files.
4. If the files are modified after received, Recipient agrees to indemnify, defend and hold harmless ADES from and against all claims, suits, losses, damages or costs, from the use of outdated, converted, or revised design files.
5. Recipient assumes all risk and liability for any losses, damages, claims or expenses resulting from the use or possession of any file(s) sent to them.
6. Because the information on the CAD Files can be modified unintentionally or otherwise, the CAD Files and the media on which they are provided are not considered certified documents.
7. All information on the CAD Files constitute instruments of service of ADES, and the permission for Recipient to use the CAD files as outlined above does not constitute a sale or transfer of ownership.
